About this area

Corporate compliance is what ensures your right to operate next year — and is usually invisible until the year you skipped.

We run annual UAE compliance at scale for multinational entity portfolios — coordinated through corporate-services-provider platforms (including Computershare/GEMS and the relevant free-zone portals) and direct with registries for retained clients. Recent and ongoing engagements include annual compliance for entities under Equinix, Refinitiv (LSEG), Olam, Keller, Milliman, RPM, Rippling, Dentsu, and others — covering AGM resolutions, financial-statement filings, board resolutions, director changes, establishment-card and licence renewals, and the standing house-keeping that keeps a UAE corporate footprint in good order.

We also handle the bespoke corporate-compliance work that sits alongside the annual cycle — health-check reviews across multi-entity portfolios, remediation of historic registry discrepancies, post-employment conflict-of-interest framework development for regulated bodies, and Media Regulatory Office (MRO) and No Objection Certificate (NOC) support.

— Pillar II · Regulatory & Compliance

Compliance issues do not respect practice boundaries. When matters cut across tax, data protection, employment, or sector regulation, we coordinate within the firm so that the client receives a single coherent answer rather than a stack of single-discipline ones.

The work, in detail

Four matter types we handle in corporate compliance.

Annual compliance at scale.

Annual compliance at scale across UAE mainland and free-zone entities — AGM resolutions, AFS filings, establishment-card renewals, board resolutions, register maintenance, and director-change project management. Coordinated through corporate-services-provider platforms (GEMS) for multinational portfolio clients and direct with registries for retained clients.

Health checks and remediation.

One-off corporate-secretarial health checks across multi-entity portfolios — tripartite review of commercial registry data, statutory records, and corporate-services-provider data; identification of discrepancies; and notation of the remediation actions required to bring the portfolio into a defensible state.

Governance and policy frameworks.

Governance frameworks — board charters, committee mandates, and management reporting lines — and the policy infrastructure that sits beneath them: code of conduct, gifts and hospitality, conflicts (including post-employment conflict frameworks for regulated bodies), and third-party due-diligence playbooks aligned with UAE practice.

Sector and registry reporting.

UBO and ESR cycles, sector-specific filings, and engagement with the relevant UAE regulators — including Media Regulatory Office (MRO) and NOC support, DDA and DAFZA registry matters, and coordination with corporate tax and FTA registration where the compliance ask spans regimes.
