Recent and ongoing work spans ADGM SPV and OpCo incorporations, founder agreements with full ADGM-seated arbitration and tag-along architecture, share-class restructurings, secondary transactions for preferred-unit and token holders, JAFZA-to-representative-office transitions, KIZAD-to-mainland conversions, ADGM and DIFC branch openings, holding-company and SPV structuring for digital depositories, and commercial-agreement portfolios for healthcare, telehealth, and platform-services clients.

Beyond setup, we run the standing housekeeping that keeps a UAE corporate footprint defensible: directors' resolutions, share allotments and class amendments, register maintenance, MOFA legalisation and DDA/DIFC/ADGM filings, POA preparation, and intra-group secondment and service agreements.

The work, in detail

Four matter types we handle in corporate commercial.

Incorporation and entity structuring.

We have set up SPVs, holding companies, and operating entities across ADGM (with registered-agent coordination through CSPs such as Griffin), DIFC, and onshore via DED, JAFZA, DAFZA, DMCC, KIZAD, and DWTCA. The work covers entity selection, share-class design, constitutional documents, licensing, and the early decisions on registered office and registered agent that materially affect later flexibility.

Shareholder agreements and founder arrangements.

Founder and shareholder arrangements are where governance, exit, and dispute architecture are actually decided. Our recent work includes a multi-party founder agreement with a sole-arbitrator ADGM seat and full tag-along design, and a coordinated secondary transaction involving preferred-unit and token sales through an exclusive engagement with a third-party platform.

Commercial contracting and platform agreements.

We negotiate and paper the commercial agreements that keep operating businesses moving — service-provider and platform-integration agreements, partnership and loyalty-programme integrations, telemedicine and laboratory-services contracts, MoUs with regulator-adjacent counterparties, and multi-jurisdictional vendor and DPA arrangements aligned with UAE PDPL requirements.

Corporate restructuring and lifecycle.

Our restructuring work runs from share-class amendments and dividend distributions through cross-jurisdictional branch conversions (mainland ↔ free zone), trade-licence cancellations, and voluntary liquidations coordinated with customs and JAFZA settlements. We have also advised on corporate-tax registration, FTA penalty remediation, and post-event clean-ups where the structure outgrew the documentation.
